Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement ("Terms") govern your access to and use of the websites, applications, and custom software provided by Rasmussen Systems ("we," "us," "our"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. License

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes. All rights not expressly granted are reserved.

2. Accounts and eligibility

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to derive source code, except as allowed by law.
• Resell, sublicense, or lease access to the Services without our written consent.
• Upload malicious code, attempt to breach security, or interfere with other users.
• Use the Services to violate any law, infringe intellectual property, or send unlawful messages.
• Scrape, crawl, or use automated means beyond documented APIs.

4. Customer data

You retain all rights in the data you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to operate and improve the Services and to comply with law. Our handling of personal information is described in our Privacy Policy.

5. Third-party integrations (QuickBooks, Stripe, Twilio)

The Services may integrate with third-party services including Intuit QuickBooks Online, Stripe, and Twilio. Your use of those services is governed by their own terms and privacy policies. You authorize us to exchange data with those services on your behalf when you enable the integration. We are not responsible for third-party services or for changes they make that affect the Services.

For QuickBooks specifically, our use of Intuit data conforms to Intuit's API Terms of Use and the limited-use requirements described in our Privacy Policy.

6. SMS messaging

If you or your customers opt in to SMS, you agree to the SMS Terms. You are responsible for obtaining valid consent from every recipient before sending messages through the Services, and for complying with the TCPA, CTIA guidelines, and carrier requirements.

7. Fees and payment

Fees are described in your order or statement of work. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Late amounts accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

8. Intellectual property

The Services, including all software, designs, and content, are owned by Rasmussen Systems or its licensors and are protected by intellectual property laws. Feedback you provide may be used without restriction.

9. Termination

We may suspend or terminate the Services immediately if you breach these Terms or if required by law. You may stop using the Services at any time. On termination, your license ends and we may delete Customer Data after a reasonable period.

10. Warranty disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Rasmussen Systems be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You will defend and indemnify Rasmussen Systems from claims arising out of your Customer Data, your use of the Services in violation of these Terms, or your violation of law or third-party rights (including SMS consent requirements).

13. Governing law

These Terms are governed by the laws of the State of Utah, excluding its conflict-of-laws rules. Exclusive jurisdiction and venue lie in the state and federal courts located in Utah.

14. Changes

We may update these Terms. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
